Explanation of Responses:

1. As of the date of this report, Parametric Sound Corporation ("PSC") is a wholly owned subsidiary of LRAD Corporation (NASDAQ: LRAD) ("LRAD"). On September 27, 2010, PSC declared a stock dividend, which resulted in LRAD receiving an additional 15,306,059 shares of PSC Common Stock. On September 30, 2010, LRAD will distribute all of the shares of PSC Common Stock that it owns to its stockholders of record as of the close of business on September 10, 2010. The distribution will be made to the stockholders of LRAD on a pro rata basis by means of a stock dividend.
